1. Sponsor

The U.S. portion of the Charlie Bears Mystery Box Unboxing Sweepstakes (the “Sweepstakes”) is operated by:

Charlie Bears North America Inc.
The Cubhouse

United States

(“Charlie Bears,” the “Sponsor,” “we,” “us,” or “our”).

The Sweepstakes forms part of a global Charlie Bears promotion operating across participating Charlie Bears regions.

2. Sweepstakes Period

The global Sweepstakes begins at:

1:00 p.m. British Summer Time (“BST”) on September 23, 2026

and ends at:

11:59 p.m. BST on October 1, 2026

(the “Sweepstakes Period”).

For reference, in the United States this corresponds to approximately:

Opening:
8:00 a.m. EDT / 5:00 a.m. PDT on September 23, 2026

Closing:
6:59 p.m. EDT / 3:59 p.m. PDT on October 1, 2026

All entries must be received during the Sweepstakes Period.

Entries received before the opening time or after the closing time will not be eligible.

3. Eligibility

The U.S. portion of the Sweepstakes is open to legal residents of the 50 United States and the District of Columbia who have reached the age of majority in their state of residence at the time of entry.

The Sweepstakes is void where prohibited or restricted by law.

Employees, officers and directors of Charlie Bears North America Inc., Charlie Bears Limited, Charlie Bears Collectables Australia Pty Ltd, their respective parent companies, subsidiaries, affiliates, advertising or promotion agencies, and persons directly involved in the administration of the Sweepstakes, together with members of their immediate households, are not eligible to enter.

The Sponsor may request reasonable evidence of an entrant's identity, age, residence and eligibility before awarding the prize.

4. No Purchase Necessary

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN.

A purchase will not improve an entrant's odds of winning.

Eligible U.S. residents may enter either:

1. through the Mystery Box Unboxing Entry Method described below; or

2. through the Free Alternate Method of Entry (“AMOE”) described below.

Entries obtained through either method will be included in the same global random drawing and will have equal weight when the winner is selected.

5. Mystery Box Unboxing Entry Method

An eligible entrant who purchases a qualifying Charlie Bears Mystery Box may enter by:

1. purchasing a qualifying Mystery Box from an official participating Charlie Bears website during the Sweepstakes Period;

2. filming an unboxing video showing the qualifying Mystery Box being opened;

3. posting the video on Facebook and/or Instagram during the Sweepstakes Period;

4. tagging the official Charlie Bears account @charliebearsofficial; and

5. clearly identifying the post as a Sweepstakes entry.

Entrants should clearly and conspicuously disclose that the video is being posted as part of a Sweepstakes.

The following wording may be used:

"Charlie Bears Mystery Box Sweepstakes Entry"

The disclosure should be easy to notice and understand and should not be hidden among unrelated hashtags or placed somewhere viewers are unlikely to see it.

Where appropriate for the format used, entrants should also make the Sweepstakes relationship clear within the video itself.

6. Qualifying Mystery Boxes

For the purchase/unboxing entry method, qualifying Mystery Boxes must be purchased from an official participating Charlie Bears website, including:

• Charlie Bears UK

• Charlie Bears USA

• Charlie Bears Australia

Purchases from independent retailers, marketplaces or other third parties do not qualify for the purchase/unboxing entry method unless expressly stated otherwise by Charlie Bears.

Entrants should retain their order confirmation or other proof of purchase.

Charlie Bears may ask an entrant to provide an order number or other reasonable evidence verifying that the Mystery Box shown in an entry was a qualifying purchase.

Entrants should not publicly display their order number, payment details, home address or other sensitive personal information in their social media posts.

7. Main Entries

Each qualifying Mystery Box used for the purchase/unboxing entry method may generate one main entry.

Posting the same qualifying Mystery Box unboxing video on both Facebook and Instagram does not generate two main entries.

For example:

• Instagram only = one main entry;

• Facebook only = one main entry; or

• Facebook and Instagram = one main entry.

If an entrant purchases and separately unboxes multiple qualifying Mystery Boxes, each qualifying Mystery Box may generate one main entry, subject to these Official Rules.

8. Bearhouse Community Bonus Entry

For each qualifying Mystery Box entered through the unboxing method, the entrant may receive one additional bonus entry by also posting the qualifying unboxing video in the official Bearhouse Community Facebook group during the Sweepstakes Period.

Each qualifying Mystery Box may therefore generate a maximum of:

• one main entry; plus

• one Bearhouse Community bonus entry.

Posting the same qualifying unboxing video multiple times in the Bearhouse Community group will not generate additional bonus entries.

The Bearhouse Community post must comply with the rules of that Facebook group and these Official Rules.

9. Free Alternate Method of Entry - No Purchase Necessary

Eligible U.S. residents may enter without purchasing a Mystery Box.

To enter without making a purchase, visit:

/competition-entry-form/

during the Sweepstakes Period and complete the free Sweepstakes entry form with the information requested.

No purchase information or order number will be required for a free entry.

A free entry will be included in the same global winner-selection pool as an entry obtained through the Mystery Box unboxing method.

The free method of entry must remain available throughout the Sweepstakes Period.

The Sponsor will not give greater weight to an entry because the entrant purchased a Mystery Box.

A purchase will not increase the odds of winning.

The free-entry process will permit eligible entrants to obtain entries without purchase on terms designed to provide a genuine opportunity to participate equivalent to the purchase-based entry route.

Any entry limits applying to the free method will be administered so that purchasing a Mystery Box does not provide a greater opportunity to win than entering through the free method.

10. Multiple Entries

Entries may be obtained in accordance with the methods described in these Official Rules.

Regardless of the entry method used:

• each valid entry will receive equal weight in the random drawing;

• purchasing merchandise will not cause an individual entry to receive greater weight;

• entrants may not use false identities, automated systems, scripts, bots or fraudulent methods to generate entries; and

• Charlie Bears may disqualify duplicate, manipulated or otherwise invalid entries.

The Sponsor reserves the right to verify the validity of all entries before conducting the final drawing.

11. Video Requirements

For entrants using the Mystery Box unboxing method, the submitted video must genuinely show the unboxing of a qualifying Charlie Bears Mystery Box.

Entries must not contain material that:

• is unlawful, threatening, defamatory, discriminatory, obscene or seriously offensive;

• promotes illegal or dangerous conduct;

• infringes copyright, trademark, privacy, publicity or other rights belonging to another person;

• contains third-party content for which the entrant does not have appropriate permission;

• materially misrepresents the Mystery Box or its contents;

• falsely represents the entrant as having purchased or received a qualifying Mystery Box;

• contains confidential or sensitive personal information; or

• otherwise breaches applicable Facebook or Instagram rules.

Entrants must own their submitted video or possess all permissions required to submit it and grant the rights set out in these Official Rules.

12. Children Appearing in Videos

A person under 18 may appear in an unboxing video only where the necessary consent has been obtained from the child's parent or legal guardian.

By submitting a video featuring a child, the entrant represents that the child's parent or legal guardian has given permission:

• for the child to appear in the video;

• for the video to be submitted as part of the Sweepstakes; and

• for Charlie Bears to use the video in accordance with these Official Rules.

Charlie Bears may request reasonable evidence of parental or legal guardian consent.

If satisfactory consent cannot be demonstrated when reasonably requested, Charlie Bears may decline to use the video and may disqualify the entry where appropriate.

13. Music and Third-Party Material

Entrants are responsible for ensuring that they have all necessary rights and permissions for music, audio, photographs, graphics, artwork or other third-party content contained within their video.

A song or other material being available through Facebook or Instagram does not necessarily mean that Charlie Bears has permission to reuse that material outside that platform.

Charlie Bears may therefore choose not to repost or otherwise use an entry where third-party rights prevent or restrict its reuse.

14. Permission to Use Entries

Entrants retain ownership of their original content.

By submitting an unboxing video entry, however, the entrant grants Charlie Bears Limited, Charlie Bears North America Inc., Charlie Bears Collectables Australia Pty Ltd and their affiliates a non-exclusive, worldwide, royalty-free licence to:

• reproduce;

• repost;

• publish;

• display;

• distribute;

• communicate;

• share; and

• use

the submitted video for Charlie Bears promotional, advertising, social media and marketing purposes.

Permitted uses may include:

• Charlie Bears social media channels;

• Charlie Bears websites;

• email marketing;

• digital advertising;

• online promotional campaigns; and

• other Charlie Bears marketing communications.

Charlie Bears may make reasonable technical or editorial adjustments, including cropping, resizing, shortening, adding captions or adapting the format for different platforms, provided the content is not materially misrepresented.

No additional fee or royalty will be payable for permitted use of an entry.

Charlie Bears is under no obligation to publish or reuse any entry.

15. FTC Disclosure Requirement for Social Media Entries

Because an entrant receives an opportunity to win a prize by posting an unboxing video, the Sweepstakes relationship must be disclosed clearly and conspicuously.

Entrants using the social-media entry method should include:

"Charlie Bears Unboxing Competition"

together with clear wording showing that the post is a Sweepstakes entry.

The disclosure should appear prominently and should not be hidden at the end of a large group of hashtags or behind a “more” link where reasonably avoidable.

Entrants must not make false or misleading statements about Charlie Bears or the Mystery Box featured in their entry.

Nothing about entering the Sweepstakes requires an entrant to provide a positive review or express a positive opinion about the product.

16. One Global Winner

This is a global promotion with one winner only.

Eligible entries received through participating Charlie Bears promotions in:

• the United Kingdom;

• the United States; and

• Australia

will be combined or otherwise included in a single global winner-selection process.

Only one person will win the global Sweepstakes.

There will not be a separate U.S. winner, UK winner and Australian winner.

The prize received by the global winner will depend on the winner's qualifying region of residence and will be governed by the applicable regional terms.

17. U.S. Prize

If the global winner is an eligible entrant from the United States, the winner will receive:

One $260 USD Charlie Bears USA website voucher

The approximate retail value (“ARV”) of the U.S. prize is $260 USD.

The voucher:

• may be redeemed through the official Charlie Bears USA website at charliebears.com;

• will be valid for 12 months from the date of issue;

• may be used across multiple eligible transactions until its value has been fully redeemed or the voucher expires; and

• has no cash redemption value except where otherwise required by applicable law.

Any balance remaining after the voucher's expiry date will expire, except where applicable law requires otherwise.

The prize is non-transferable except where the Sponsor agrees otherwise or applicable law requires otherwise.

No cash alternative will be offered except where required by law.

The Sponsor may substitute a prize of equal or greater value if circumstances outside its reasonable control make the advertised prize unavailable.

18. Odds of Winning

The odds of winning depend upon the total number of valid entries received globally from all participating regions during the Sweepstakes Period.

Every valid entry included in the final drawing will have an equal chance of being selected.

The number of social media followers an entrant has and the number of likes, views, shares, comments or other engagement received by an entry will have no effect on the odds of winning.

The creativity, production quality or originality of an unboxing video will not affect winner selection.

19. Winner Selection

Following the end of the Sweepstakes Period, one global winning entry will be selected at random from all valid eligible entries received across the participating regions.

The winner will be selected using a computer process designed to generate a random result.

Charlie Bears will retain appropriate records relating to the draw and winner verification.

The Sweepstakes is a game of chance. Entries are not judged on creativity or originality.

20. Winner Verification

Before the winner is confirmed, Charlie Bears may verify that the selected entrant:

• satisfied the eligibility requirements;

• submitted a valid entry;

• complied with the applicable regional Official Rules;

• was entitled to any bonus entry attributed to them; and

• has not otherwise breached these Official Rules.

For an unboxing entry, Charlie Bears may request reasonable proof of the qualifying Mystery Box purchase.

No-purchase entrants will not be required to produce proof of purchase.

If the selected entry cannot be verified or the entrant is determined to be ineligible, the selected entrant may be disqualified and an alternate winner may be selected randomly from the remaining eligible entries.

21. Winner Notification

Where the winning entry was submitted through Facebook or Instagram, the selected winner will ordinarily be contacted by direct message through the social media account used to enter.

Where the winning entry was submitted through the free alternate method of entry, the selected winner will ordinarily be contacted using the email address provided with the free entry.

The selected winner must respond within 7 days of the initial winner notification.

If the selected winner:

• does not respond within 7 days;

• cannot be contacted;

• declines the prize;

• cannot reasonably demonstrate eligibility where verification is required; or

• is otherwise disqualified under these Official Rules,

Charlie Bears may select an alternate winner randomly from the remaining eligible entries.

The same response deadline may apply to an alternate winner.

Charlie Bears will never require a winner to pay a fee or provide payment-card details in order to receive the prize.

Entrants should be alert to fake or impersonating social media accounts claiming to represent Charlie Bears.

22. Winner Publicity

Except where prohibited by law, Charlie Bears may announce the winner's first name, surname initial, state of residence and/or social media handle after the winner has been verified.

Any use of the winner's submitted video will be governed by the content licence contained in these Official Rules.

Where additional consent is required by applicable law for a particular publicity use, Charlie Bears will obtain that consent separately.

23. Invalid or Fraudulent Entries

Charlie Bears may reject or disqualify an entry where it reasonably determines that:

• the entry is fraudulent;

• false eligibility information has been provided;

• an unboxing entry does not relate to a genuine qualifying Mystery Box;

• an entrant has attempted to generate more entries than permitted;

• multiple identities, fake accounts, automated systems, scripts or bots have been used;

• an entry has been copied from another person;

• an entry infringes third-party rights;

• an entrant has interfered with the operation of the Sweepstakes;

• an entrant has breached these Official Rules; or

• the integrity or fair operation of the Sweepstakes has otherwise been compromised.

24. Mystery Box Returns

The Sweepstakes does not replace or amend the separate purchase, refund and returns terms applying to Charlie Bears Mystery Boxes.

Where an entrant has purchased a Mystery Box, the applicable Mystery Box Terms & Returns Policy for the relevant Charlie Bears regional website continues to apply.

The free alternate method of entry remains available regardless of whether an individual chooses to purchase a Mystery Box.

Nothing in these Official Rules is intended to limit any consumer right or remedy that cannot lawfully be excluded or restricted.

25. Privacy

Personal information collected in connection with the Sweepstakes may be used for purposes including:

• administering the promotion;

• recording and validating entries;

• conducting the winner selection;

• contacting and verifying the winner;

• delivering the prize;

• preventing fraud and abuse; and

• complying with legal or regulatory obligations.

Personal information will be handled in accordance with the applicable Charlie Bears Privacy Policy and applicable privacy law.

Entering the Sweepstakes does not by itself constitute consent to receive unrelated direct marketing communications where separate consent is required.

26. Facebook and Instagram

The Sweepstakes is not sponsored, endorsed, administered by, or associated with Facebook, Instagram or Meta Platforms, Inc.

By participating, entrants acknowledge that Facebook, Instagram and Meta are not responsible for the administration of the Sweepstakes or provision of the prize.

Entrants must comply with applicable platform terms, policies and community standards.

Questions, comments or complaints concerning the Sweepstakes should be directed to Charlie Bears and not to Facebook, Instagram or Meta.

27. Social Media Availability

Charlie Bears is not responsible for entries that cannot be viewed, received or verified as a result of:

• privacy settings;

• deletion of a post;

• incorrect tagging;

• platform outages;

• account suspension;

• internet or network failures;

• technical errors; or

• other circumstances outside Charlie Bears' reasonable control.

Social-media entrants should keep their qualifying entry available and capable of being viewed until winner verification has been completed.

28. Technical Problems

Charlie Bears is not responsible for lost, late, incomplete, corrupted, misdirected or otherwise unsuccessful entries caused by technical problems outside its reasonable control.

If the operation, security or integrity of the Sweepstakes is materially affected by fraud, technical failure, unauthorized intervention or another circumstance outside the Sponsor's reasonable control, the Sponsor may take reasonable steps to preserve the fairness and integrity of the promotion, including suspending, modifying or terminating it where legally permitted.

29. Release and Limitation of Liability

To the fullest extent permitted by applicable law, entrants release and hold harmless Charlie Bears North America Inc., Charlie Bears Limited, Charlie Bears Collectables Australia Pty Ltd, their respective affiliates, officers, directors, employees and agents from claims arising directly from participation in the Sweepstakes or acceptance or use of the prize, except to the extent liability cannot lawfully be excluded.

Nothing in these Official Rules excludes any liability that cannot lawfully be excluded.

Facebook, Instagram and Meta Platforms, Inc. are released from responsibility relating to the administration of this Sweepstakes to the extent permitted by applicable law.

30. Governing Law

For eligible U.S. entrants, these Official Rules will be governed by applicable United States law and, to the extent permitted by applicable law, the laws of the State of Florida, without giving effect to conflict-of-law principles.

Nothing in this provision removes any mandatory right or protection available to an entrant under applicable federal or state law.

The Sweepstakes is void where prohibited.

31. Acceptance of Official Rules

By entering the Sweepstakes, each entrant agrees to comply with these Official Rules and the reasonable decisions of Charlie Bears regarding the administration of the Sweepstakes.

Any decision will be made consistently with applicable law.
